Acceptance: Your submittal of an online order and/or your
signature on our Order Acknowledgment is a conditional acceptance by
Stellar Specialties of your offer to purchase our goods and your acceptance
of our terms and conditions. It may contain terms that differ from
or add to those contained in your purchase order, should you have
one, and to the extent that this is the case, Stellar Specialties hereby
expressly conditions its acceptance of your offer on Stellar Specialties'
assent to the additional or different terms. Your receipt and
retention of the goods covered by this invoice shall constitute
acceptance of any such additional or different terms. You and
Stellar Specialties agree that any contract hereby entered into has been
made and is to be construed to California State Law.
The Ordering Process: In order to place your order we require that you fax
or email us a purchase order. Upon receipt of the PO, we will begin
processing your order. One of our customer service professionals
will be assigned to oversee your order from conception to
completion.
Product availability, artwork and imprint issues,
delivery times, and any expert advise to ensure the smooth
production of your order will be addressed.
An Order
Acknowledgement Form will be issued to you for approval, after
review of your order.
This Acknowledgement Form includes all
the details of your order including shipping charges and form of
payment. It will be faxed you along with a paper proof of your
artwork.
It is recommended that these two forms be faxed back
to us as soon as possible as not to delay your
order.
Cancellations and Alterations to Existing
Orders: Once an Order
Acknowledgment is approved, we cannot guarantee our ability to make
changes or cancellations to an order. Stellar Specialties will make every
effort to comply with your cancellation request. If you have already
signed your Order Acknowledgment, there will be a minimum charge of
$50.00 to cover order entry and preparation expenses. In addition,
you are liable to pay the agreed upon price for any work that may
have been completed up to the time that we are able to cancel your
order. These charges may include but are not limited to setup
charges, artwork preparation charges, shipping charges and
restocking fees. All completed work and costs incurred will be the
responsibility of the customer.
Large Quantity
Discounts: Price reduction for
greater than those shown on our site may be available. Please place
your order or contact customer service for an exact quote. We have
discount programs for frequent and loyal customers. More information

Production
Time: Most products can be produced
in as little 7-14 working days. Please plan ahead. The holiday
season is our peak ordering time. Rush service is available on some
items. Please call our office for details.
Payment
Terms: All new customers must provide
necessary credit info. prior to processing order. All orders are
pre-pay unless Net 30 terms are established for qualified accounts.
Cash, check, or money orders accepted.
Artwork: We accept
almost all major file formats and programs from PCs and in some
cases Macintoshes. However, we prefer Adobe Illustrator files. You
can probably ask the person who created your logo for this file and
email it or send it to us on disk. We can also use .jpg,.gif,.bmp
and .tif or any other graphics file. For files other than Adobe
Illustrator, please make sure the resolution is a least 600 dpi.
Please do not send artwork from your website: these graphics are low
resolution and NOT suitable for our use.
If you have any
other questions, feel free to contact our art department and we'll
walk you through it. Remember, it might be a bit of a hassle now,
but once we have it on file, you'll never have to deal with it
again.
Adobe Illustrator Notes: Please convert your image to outlines so any
special fonts will not have to be included with the document.
Otherwise please provide camera ready
artwork. The mechanical paste-up
should be done to final printed size on white card stock or
illustration board. The edges of all images must be smooth, not
ragged. Letters must be first generation. Letterheads, yellow page
advertisements or photocopies do not provide acceptable printing
results. Artwork should be color separated for multi-color imprints.
Each overlay should be in position and indicated by register marks.
All art charges will be quoted if the art work is not supplied or if
supplied art work is not properly sized. All art must be approved by
customer prior to production. Your artwork can be e-mailed to
art@stellarspecialties.com.
Cuts, Screens, Dies and Set-Up
Charges: Depending upon the
production method, some charges for set-up may apply. Consult your
Stellar Specialties representative for specific charges. Generally,
manufacturers maintain files for a maximum of 24 months. Reorders
placed after the 24-month period will require a new set-up charge.
Set-up charges will be waived on orders totaling more than
$1,000.
Colors -
Product: We have taken special care
to represent product colors as accurately as possible. However, due
to variances in the photographic and printing processes involved in
the production of our catalog (both hardcopy and on-line), slight
differences in the product may occur. If a product is to be used for
a particular "color" coordinated promotion and product color is a
significant part of the promotion, we ask that you order a random
sample or a product proof prior to production.
Colors - Imprint: Standard imprint colors vary from item to item
and manufacturer to manufacturer. If a specific PMS color match is
required, contact a Stellar Specialites representative for pricing
for the specific product as each manufacturer will have their own
pricing policy.

Proofs: Paper proofs
of the proposed imprint copy can be provided on each item upon
request. Add $15.00 net. Product proofs may be available on certain
items, consult with your Stellar Specialties representative for
costs.
Samples: Random
imprinted samples are available on any product shown in our catalogs
or on-line at 50% of the smallest quantity list price shown. Sample
purchases must be prepaid. All samples are shipped prepaid by UPS
ground. If expedited service is needed appropriate charges will
apply.
Flexible Quantities: Some products can be ordered in less than minimum
quantities. Call for additional charges.
Future Deliveries: Generally, Stellar Specialties and its
manufacturers can accommodate orders for delivery for a future date.
However, at these deeply discounted prices all orders must be
completed and shipped no later than December 31, 2001.
Shipping Considerations: All of our products are shipped FOB from their
respective manufacturers in the United States. We make the best
effort to ship your products to your desired destination in the most
economical means possible with respect to your specified in-hands
date and production limitations. Typically UPS Ground is the most
economical method of shipping. Exceptions will be made with
extremely heavy or oversized freight.
We cannot be held
responsible for goods lost or delayed by common carrier,
international or US Customs Depts., or by "acts of God". We will
typically notify you with tracking information within 24 hours of
shipment.
All orders will be shipped using ChoicStellar Specialties
account and billed with your order at published rates for that
carrier. If you prefer to use your own account, we can accomodate
you. Please provide us with carrier name and your account number via
email.
Shipping Delays: Customer agrees that it will not hold
Stellar Specialties accountable for delays in delivery occasioned by acts
of God or other circumstances over which we have no direct control.
Factory shipment or delivery dates are the best estimates of our
suppliers, and in no case shall Stellar Specialties be liable for any
consequential or special damages arising from any delay in
delivery.
Special "Event"
Dated Orders: Do not "assume" that a
specific date can be met if the item ordered is for a special event
and would be worthless if delivered after that date. A Stellar
Specialties representative must specfically authorize each case.
Once authorization has been pre-approved, be certain to expedite
your order by overnight delivery and put the required "in hands
delivery by or cancel date" boldly at the top of your order form.
Also be sure to list the name of the Stellar Specialties
representative that provided the approval.
Substitutions: At
times, our manufacturers find it necessary to make substitutions. We
reserve the right to provide like product of equal or greater value
without notice. Note: This is especially prevalent on caps
advertised as "imports" - we do not advertise or guarantee a
specific import brand. This may vary from order to order depending
upon availability. On wearable items, it is not uncommon to find
variations between "dye lots" and colors may also vary from order to
order.
Under-run or Over-runs: Due to the very nature of automated high-speed
production equipment and methods it is not possible to guarantee
exact quantities. It is industry standard practice to allow for an
under or over run of 5% to 10% on certain items. Invoices will
reflect the actual quantity shipped.
Warranties: Stellar Specialties warrants that all goods sold are
free of any security interest and will make available to you all
transferable warranties made to Stellar Specialties by the manufacturer of
the goods. Stellar Specialties makes no other express or implied
warranties, and specifically makes no implied warranties of
merchantability or fitness for purpose.
Merchandise Consistency
Please note that we encourage you to take the opportunity to review
a sample of the actual product before you order in bulk quantity. It
is important that you understand that these samples are
representative in nature. While we are very careful about the
suppliers and manufacturers we use, manufacturing variations are
unavoidable and a natural result of the manufacturing process. By
choosing to place and order with Stellar Specialties, you are agreeing to
accept merchandise with reasonable manufacturing variances in
product material, color and packaging. The most common example of
this is apparel dye-lots.
Sales Tax: Stellar Specialties is required by law to collect
all applicable state and local taxes for services and goods shipped
to California. Customers in other states may be required to remit
use taxes. Please consult your tax advisor. Companies, individuals
and organizations who are exempt from sales tax should provide us
with a copy of their resale certificate by fax to
310-541-2660.
Claims, Adjustments and Returns: If you have any problems with your order
please contact customer service at 310-265-2265 within 15 days of
receipt. We advise opening your merchandise to review its quality if
you do not intend to use it right away. After this time we will be
unable to go back to our suppliers for credit. Please have your
order number available. WE DO NOT ACCEPT UNAUTHORIZED RETURNS. If
any problem arises, please call customer service immediately. If
necessary we will issue an RMA number (Return Material
Authorization) and provide you with a special shipping
address.
Site Pricing: While we make best efforts to keep our site
up to date, from time to time actual market conditions may change
the price of a product. We reserve the right to change prices on the
site at anytime. If a site price is incorrect on an item that you
ordered, we will contact you immediately with the most updated price
or help you choose a different item that is within your
budget.
Privacy
Policy: All information
gathered by Stellar Specialties through your order is kept strictly
confidential.
Security: With respect to security: We always use
industry-standard encryption technologies when transferring and
receiving consumer data exchanged with our site. We process credit
card information by fax and phone. Internally your credit card
information is kept highly secure. Please do not give us credit card
